1. Introduction

Welcome to Mudaam ("we," "our," or "us"). These Terms and Conditions ("Terms") explain the rules for using the Mudaam B2B marketplace platform, including our website at Mudaam.pk and all related services (the "Platform").

By using Mudaam, you agree to follow these Terms. If you don't agree, please don't use our Platform.

2. What Mudaam Does

Mudaam is a B2B (business-to-business) marketplace that connects:

• Godaam (Warehouse) Owners: Licensed suppliers and distributors who sell products in bulk
• Shop Owners (Retailers): Licensed shops and businesses that buy products in bulk for resale

Important: Mudaam is NOT for individual customers buying small quantities. All transactions are strictly between businesses.

3. Who Can Use Mudaam

3.1 Basic Requirements

To use Mudaam, you must:

• Be at least 18 years old
• Own or represent a real, registered business
• Have the legal right to sign business contracts
• Follow all laws in Pakistan

4. Creating and Managing Your Account

4.1 Setting Up Your Account

• You must give us correct and complete information when signing up
• Keep your password safe and don't share it
• Tell us immediately if someone uses your account without permission
• You are responsible for everything done using your account

4.2 Account Approval

All godaam (warehouse) owner accounts must be verified before approval. We can:

• Check if your documents (licenses, NTN, etc.) are real
• Ask for more documents or information
• Approve, reject, or suspend accounts as needed
• Re-check your licenses and documents from time to time

4.3 Account Suspension

We may suspend or close your account if:

• You break these Terms or any laws
• Your license expires or gets cancelled
• You give false information
• You do something illegal or fraudulent
• You don't pay your fees

5. What Mudaam Does and Doesn't Do

5.1 We Are Just a Platform

Mudaam only connects godaam (warehouse) owners with shop owners. We:

• DO NOT sell, distribute, or handle any products
• DO NOT own or store any inventory
• ARE NOT responsible for product quality, safety, or legality
• ARE NOT part of the buying and selling between users

5.2 What We Do

Mudaam will try our best to:

• Verify godaam (warehouse) owners before approval
• Keep the Platform secure and working properly
• Provide customer support for Platform problems
• Remove listings or users that break our rules

6. Rules for Godaam (Warehouse) Owners

As a godaam (warehouse) owner on Mudaam, you agree to:

6.1 Product Listings

• List only genuine, quality products
• Give accurate product information (name, price, description)
• Update product availability and prices regularly
• Include clear photos and descriptions
• State minimum order quantities (MOQ) and delivery terms clearly

6.2 Quality Standards

• Ensure all products meet quality standards
• Store products properly
• Never sell fake, expired, or poor quality products
• Keep your business licenses valid and up to date
• Follow all Pakistani business laws

6.3 Fulfilling Orders

• Process orders quickly and correctly
• Deliver products on time
• Package products safely to prevent damage
• Provide proper invoices and documentation
• Handle returns and refunds according to your policy

7. Rules for Shop Owners (Retailers)

As a shop owner on Mudaam, you agree to:

• Check the reputation of godaam (warehouse) owners before ordering
• Inspect products when delivered for quality and correctness
• Report any problems immediately (damaged goods, wrong items, etc.)
• Pay according to agreed terms (cash on delivery, bank transfer, etc.)
• Keep your business license current
• Use the Platform only for legitimate business purposes

8. Payments and Transactions

8.1 Payment Methods

Mudaam supports:

• Cash on Delivery (COD): Pay the godaam (warehouse) owner when products are delivered
• Bank Transfer: Transfer funds to Mudaam. Once the buyer confirms that the product has been delivered, Mudaam will release the payment to the godaam (warehouse) owner or directly to the godaam owner’s registered bank account.

8.2 Prices and Fees

• All prices are set by godaam (warehouse) owners in Pakistani Rupees (PKR)
• Godaam (warehouse) owners may charge delivery fees based on location and order size
• Mudaam charges godaam (warehouse) owners a subscription or commission fee
• Shop owners can browse and order for free

8.3 Disputes

All transactions happen directly between godaam (warehouse) owners and shop owners. If there's a problem:

• Try to solve it directly with the other party first
• Mudaam may help with communication but is not required to solve disputes
• Mudaam is not responsible for any financial losses
• Legal action, if needed, should be between the two parties involved

9. Returns and Refunds

9.1 When You Can Return Products

You can return products within 7 days if:

• Products are damaged during delivery
• Products are defective or poor quality
• Wrong products were delivered
• Products are expired or nearly expired

9.2 How to Return Products

• Contact the godaam (warehouse) owner immediately
• Send photos showing the problem
• Return products in original packaging
• The godaam (warehouse) owner will check and give refunds or replacements

9.3 What Cannot Be Returned

• Products with damaged or opened packaging (unless defective)
• Special or custom orders
• Products returned after 7 days
• Products that have been used

10. Our Content and Trademarks

All content on Mudaam, including logos, text, graphics, and designs, belongs to Mudaam and is protected by Pakistani law.

You agree NOT to:

• Copy or distribute our content without permission
• Use our logos or branding without authorization
• Try to copy or reverse engineer our Platform
• Create similar platforms based on ours

11. What You Cannot Do

You agree NOT to:

• Sell fake, expired, or poor quality products
• Lie about your identity or business
• Commit fraud or cheat in transactions
• Manipulate prices, reviews, or ratings
• Harass or threaten other users
• Break any laws or regulations
• Use the Platform for personal (non-business) purchases
• Share your account with unauthorized people
• Collect data from the Platform without permission
• Try to hack or damage the Platform

12. Our Liability Limits

IMPORTANT - PLEASE READ CAREFULLY:

• Mudaam is not responsible for indirect damages or losses from using the Platform
• Mudaam is not responsible for product quality, safety, or legality
• Mudaam is not responsible for financial losses from disputes between users
• Mudaam is not responsible for delivery delays, damaged goods, or wrong orders
• Our total liability to you cannot exceed the fees you paid us in the past 12 months

13. You Protect Us From Claims

You agree to protect and defend Mudaam from any claims, losses, costs, or legal fees arising from:

• Your violation of these Terms
• Your violation of any laws
• Your misuse of the Platform
• Products you list, sell, or buy through the Platform
• Disputes with other users

14. Your Privacy

Your use of Mudaam is also covered by our Privacy Policy, which explains how we collect and protect your information. By using Mudaam, you agree to our Privacy Policy.

15. Changes to These Terms

We can change these Terms at any time. When we do, we'll update the "Last Updated" date at the top and notify you via email or Platform message. If you continue using Mudaam after changes, it means you accept the new Terms.

16. Pakistani Law Applies

These Terms follow the laws of Pakistan.

Any disputes will be resolved through:

• Friendly discussion between the parties
• If that doesn't work, mediation or arbitration in Karachi, Pakistan
• As a last option, court proceedings in Karachi, Pakistan

17. If One Part is Invalid

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
